These Terms and Conditions ("Terms") govern your use of the BrightBooks Accounting Solutions website and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

  • "Services" refers to all accounting and financial services provided by BrightBooks, as well as our website and any related content
  • "Client" refers to individuals or entities who have engaged BrightBooks for professional accounting services

3. Services

BrightBooks provides accounting services, including but not limited to bookkeeping, financial reporting, tax advisory, and related professional services. The specific services to be provided to Clients will be outlined in a separate engagement letter or service agreement.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without notice.

4. User Accounts

Some of our Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate and complete information when creating an account and to update your information as necessary to keep it accurate and complete.

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, incomplete, or outdated.

5. Client Responsibilities

As a Client, you are responsible for:

  • Providing accurate, complete, and timely information necessary for the performance of our Services
  • Reviewing any reports, tax returns, or other documents we prepare on your behalf
  • Making management decisions and performing management functions
  • Establishing and maintaining internal controls
  • Complying with all applicable laws and regulations

6. Fees and Payment

Our fees for Services will be set forth in the engagement letter or service agreement. Unless otherwise stated, all fees are quoted in Canadian dollars and are exclusive of applicable taxes.

Payment terms will be specified in the engagement letter or service agreement. We reserve the right to suspend Services if payments are not made according to the agreed terms.

7. Intellectual Property Rights

All content on our website, including text, graphics, logos, images, and software, is the property of BrightBooks or our licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

You may not reproduce, modify, distribute, or publicly display any content from our website without our prior written consent.

8. Confidentiality

We will maintain the confidentiality of all Client information in accordance with professional standards and applicable laws. However, we may disclose information if required by law, regulation, or legal process.

You agree to maintain the confidentiality of any proprietary information we provide to you in connection with our Services.

9. Limitation of Liability

To the maximum extent permitted by law, BrightBooks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use our Services
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any errors, mistakes, or inaccuracies in our content
  • Any interruption or cessation of transmission to or from our Services

Our total liability for any claims arising under these Terms shall not exceed the amount paid by you to BrightBooks for Services during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless BrightBooks and our officers, directors, employees, agents, and representatives from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of our Services or your violation of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of our Services after any changes to these Terms constitutes your acceptance of the revised Terms.
